Runcorn nano-material firm Nanoco Group plc, which in May announced its intention to delist from the main market of the London Stock Exchange, said on Thursday it has adjourned its General Meeting set for June 19 to seek shareholder approval for the move.
Nanoco said some shareholders have concerns “around the potential lack of liquidity that would result were the company’s shares to be delisted.”
The firm said it will now “explore further options and allow for further constructive engagement and dialogue with shareholders.”
On May 27, Nanoco announced its intention to delist from the main market of the London Stock Exchange, citing “cost and regulatory burden” among other reasons.
On Thursday, Nanoco said: “On 27 May 2026, the Board of Nanoco issued a Circular and Notice of General Meeting convening a General Meeting to be held at 10.30 a.m. on Friday 19th June 2026 in order to seek shareholder approval for the proposed cancellation of the Ordinary Shares from the Official List, and from admission to trading on the main market for listed securities of the London Stock Exchange.
“As outlined in full on 27 May 2026, and as detailed in the Circular, the Board believes that by taking further measures to reduce the Company’s operating costs and carefully investing its remaining resources in existing high-potential business areas, greater value can be generated for Shareholders.
“The Board have engaged extensively in dialogue with the Company’s shareholder base, noting in particular the concerns around the potential lack of liquidity that would result were the Company’s shares to be delisted.
“The Board continues to believe that a delisting would be in the best interests of all shareholders but recognises that the resolutions are unlikely to meet the required approval threshold of 75% of votes cast by shareholders at the General Meeting.
“It is therefore the Board’s intention to propose the adjournment of the General Meeting to explore further options and allow for further constructive engagement and dialogue with shareholders.
“Unless otherwise defined herein, the capitalised terms used in this announcement have the same meaning as those used in the Company’s announcement released on 27 May 2026.”
